HSA Partner Program – Terms of Service
1. Overview
The HSA Partner Program allows approved individuals and organizations to promote Happiness Studies Academy programs and earn commissions on eligible referrals.
At this stage, the program focuses primarily on the Certificate in Happiness Studies. HSA may add or remove eligible programs at any time.
2. Eligibility
Participation in the HSA Partner Program is subject to approval.
HSA reserves the right to accept, reject, suspend, or remove any Partner from the program at its discretion.
3. Partner Tools
Approved Partners may receive access to referral tools, which may include:
• A unique referral link
• A unique coupon code
• A partner dashboard
• Tracking of leads, referrals, conversions, and commissions
• Access to lead information for the people they refer
• Promotional materials, when available
Partners must use their official referral link and/or coupon code in order for referrals to be tracked correctly.
4. Commission Structure
Partners may earn commission for each valid referral.
Commission rates may vary based on the specific partner agreement, program, campaign, country, performance, or other arrangements approved by HSA.
Unless otherwise stated in a separate written agreement, commissions are calculated based on the actual net amount received by HSA, after discounts, refunds, chargebacks, failed payments, and payment processing fees.
5. Referral Qualification
A referral may qualify for commission when:
• The referred student is new to HSA or is otherwise approved as an eligible referral
• The referred student uses the Partner’s official referral link and/or coupon code
• The student successfully enrolls in an eligible HSA program
• Payment is successfully completed and received by HSA
• The student does not cancel or receive a refund during the applicable refund period
HSA’s tracking system and internal records will determine referral attribution. HSA decisions regarding attribution are final.
6. Payout Terms
Commissions are initially marked as pending after a qualifying payment is received.
Commissions become eligible for approval only after the applicable refund period has ended.
Unless otherwise stated in a separate written agreement, commission payments are issued monthly for approved commissions.
HSA may require Partners to provide accurate payment details, tax information, or other documentation before commissions can be paid.
7. Refunds, Chargebacks, and Failed Payments
Only completed and non-refunded payments qualify for commission.
Refunded payments, failed payments, incomplete payments, chargebacks, disputed payments, or canceled enrollments do not qualify for commission.
If a refund, chargeback, failed payment, or cancellation occurs after commission has already been paid, HSA may deduct the relevant amount from future commission payments.
8. Payment Plans
If a referred student pays through a payment plan, commissions are calculated only on payments actually received and retained by HSA.
Unless otherwise stated in a separate written agreement, payment plan commissions are issued according to the payments received, after the relevant refund period and payment conditions are met.
If a student stops paying, cancels, or fails to complete future payments, the Partner will only be eligible for commission on payments successfully received and retained by HSA.
9. Lead Information and Confidentiality
Partners may receive access to lead information for the people they refer.
Partners may use this information only to follow up with referred leads regarding HSA programs.
Partners may not sell, share, transfer, rent, publish, copy, or misuse lead information.
All lead information, customer information, dashboard information, commission information, and non-public HSA business information must be treated as confidential.
If a lead asks not to be contacted again, the Partner must respect that request.
10. Prohibited Activities
Partners may not:
• Misrepresent HSA, Dr. Tal Ben-Shahar, or any HSA program
• Make false or misleading claims about program outcomes, certification, accreditation, pricing, discounts, or refund terms
• Use spam, deceptive marketing, fake urgency, or unethical promotional practices
• Bid on HSA, Happiness Studies Academy, Tal Ben-Shahar, or other branded keywords without written approval
• Impersonate HSA or present themselves as an employee, representative, or official agent of HSA
• Create unauthorized pages, ads, emails, or materials that appear to officially represent HSA
• Use HSA’s name, brand, or materials in a way that may damage HSA’s reputation
Violations may result in suspension, termination, and forfeiture of unpaid commissions.
11. Intellectual Property
All HSA names, logos, trademarks, curriculum, videos, recordings, written materials, images, program names, and brand assets remain the property of HSA or its licensors.
Partners may use approved HSA materials only for the purpose of promoting eligible HSA programs.
Partners may not modify, copy, sell, or distribute HSA materials without written approval.
12. Program Changes
HSA may modify, pause, or discontinue the Partner Program at any time
HSA may also modify eligible programs, commission structures, payout rules, coupon codes, tracking methods, promotional materials, or these Terms of Service at any time.
Where possible, HSA will make reasonable efforts to notify Partners of significant changes.
13. Termination
Either HSA or the Partner may end participation in the Partner Program at any time.
Upon termination, the Partner must stop using HSA referral links, coupon codes, promotional materials, brand assets, dashboard access, and lead information.
Approved commissions earned before termination may still be paid, provided that all payment conditions are met and the Partner has complied with these Terms of Service and any separate written agreement.
14. Separate Partner Agreements
Some Partners may have separate written agreements with HSA.
In the event of a conflict between these general Terms of Service and a separate written agreement signed or approved by HSA, the separate written agreement will control for that specific Partner.
15. Acceptance
By applying to the HSA Partner Program, accessing the partner dashboard, using a referral link, using a coupon code, or promoting HSA programs as a Partner, you agree to these Terms of Service.
